Agreement to These Terms
These Terms & Conditions govern access to this website, quotation requests, and the purchase of apparel, uniforms, custom clothing, private-label and OEM manufacturing services from J&R Apparel (“we”, “us” or “our”). By using the website or placing an order you agree to these Terms. If you act for a business, you confirm that you are authorised to bind that business.
Quotations, Specifications and Orders
Quotations are indicative unless expressly stated otherwise and remain valid for 30 days. Final pricing, minimum order quantity, fabric, trims, sizing, colours, artwork, delivery schedule, taxes and other specifications will be confirmed in a written quotation, purchase order or pro forma invoice. An order is accepted only when we provide written acceptance and receive the required advance payment.
Custom Production and Approvals
Custom, private-label and OEM orders are made to approved specifications. You are responsible for providing accurate sizes, measurements, artwork, logos, labels, packaging instructions and approvals. Production begins after final written approval. Minor, commercially reasonable variations in colour, shade, dimensions, placement, fabric or trims may occur due to manufacturing processes and will not constitute a defect.
Minimums, Samples and Changes
Our standard minimum order quantity is 50 pieces per style, and higher minimums may apply to certain fabrics or techniques. Samples, pattern development, printing screens, embroidery programmes, freight and other development charges may be separately payable. Any change requested after approval may affect price, minimums and delivery time, and takes effect only when accepted by us in writing. Cancellation of a custom order after work begins may result in charges for completed work, materials and committed capacity.
Pricing, Taxes and Payment
Unless expressly stated otherwise, prices exclude GST, duties, freight, insurance, bank charges and other applicable taxes or charges. Payment terms, including advance, balance and credit arrangements, will be shown on the applicable invoice or quotation. We may suspend production or dispatch in respect of overdue amounts. Late payments may attract interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
Delivery, Shipping and Risk
Delivery dates are estimates unless expressly guaranteed in writing, and may be affected by supplier delays, approvals, transport disruption, force majeure or other events beyond our reasonable control. Risk passes as specified in the agreed shipping terms, or on handover to the carrier if no such terms are agreed. You must inspect deliveries promptly and notify us in writing of visible shortages or damage within 48 hours of receipt.
Returns, Defects and Remedies
Because bulk and custom-made goods are produced to order, returns or exchanges are not accepted except for verified manufacturing defects or non-conformity with the approved specification. Claims must be submitted in writing with photographs, batch details and order information within 7 days of delivery. Our sole obligation, at our option, is to repair, replace, provide a credit, or refund the affected portion of the order after inspection.
Customer Materials and Intellectual Property
You retain rights in the artwork, trademarks and materials you provide, and grant us a limited licence to use them solely to perform the order. You warrant that your materials do not infringe third-party rights or violate any law, and you will indemnify us against claims arising from them. Our website content, designs, processes, quotations, patterns and materials remain our intellectual property unless otherwise agreed in writing.
Website Use
You may use this website only for lawful, legitimate business purposes. You must not interfere with the website, introduce harmful code, scrape or copy content without permission, misrepresent your identity, or use the website in a manner that infringes rights or violates applicable law. We may restrict or suspend access where reasonably necessary.
Confidentiality
Each party will protect the other party’s non-public commercial, technical, pricing and product information disclosed in connection with an enquiry or order, and will use it only for the contemplated business relationship, except where disclosure is required by law or where the information is independently known or publicly available.
Limitation of Liability
To the maximum extent permitted by law, J&R Apparel will not be liable for indirect, incidental, special, consequential or punitive losses, including lost profits, business interruption or loss of goodwill. Our aggregate liability arising from an order will not exceed the amount paid to us for the goods or services giving rise to the claim. Nothing in these Terms limits liability that cannot lawfully be limited.
Force Majeure
We are not responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, fire, epidemic, labour disputes, utility failures, government action, supply-chain interruption, transport disruption, war or civil unrest. We will use reasonable efforts to mitigate the effects and resume performance.
Governing Law and Disputes
These Terms and any dispute arising from them are governed by the laws of India. The courts at New Delhi, Delhi, India will have exclusive jurisdiction, subject to any mandatory law. Before initiating formal proceedings, the parties will attempt in good faith to resolve the dispute through discussion for at least 30 days.
Questions about these Terms
If any provision is unenforceable, the remaining provisions continue in effect. Our failure to enforce a right is not a waiver. These Terms, the accepted quotation or purchase order, and any written addendum form the complete agreement for the relevant order.
